Article 1 – Name, Headquarters, and Duration
The non-profit association shall be known as Associação Terra Sintrópica, with its headquarters at Estrada dos Celeiros, No. 15, Além-Rio, 7750-301 Mértola, in the parish and municipality of Mértola, district of Beja, and is established in accordance with and under the applicable legislation. The association’s legal entity number is 515170941.
Article 2 – Purpose
The association’s purposes are:
- Environmental protection;
- Local development;
- To foster interaction between nature, agriculture, food, and local communities through the application of ethical and conscious management models for natural, human, and financial resources;
- To develop and support the regeneration of territories highly susceptible to desertification and climate change through research, demonstration, cooperation, and education;
- To disseminate and promote Syntropic Agriculture, as well as other concepts that contribute to the above purposes.
Article 3 – Revenue
The association’s revenue shall include, but not be limited to:
- The initial membership fee paid by members;
- Income from membership dues set by the general assembly;
- Income from the association’s own assets and from social activities;
- Donations accepted by the association;
- Grants awarded to the association;
- Donations and patronage.
Article 4 – Governing Bodies
The association’s governing bodies are: the general assembly, the board of directors, and the fiscal council. The term of office for the members of the governing bodies is three years.
Article 5 – General Assembly
The general assembly consists of all members in full enjoyment of their rights. The powers of the general assembly and the manner of its operation are those established in the Civil Code, particularly in Articles 170, 172, and 179. The general assembly’s board is composed of three members: a president and two secretaries, whose duties are to direct the meetings of the assembly and to draw up the minutes.
Article 6 – Board of Directors
The board of directors, elected by the general assembly, is composed of three members. The board of directors is responsible for the social, administrative, and financial management of the association, as well as representing the association in and out of court. The manner of its operation is as established in Article 171 of the Civil Code. The association is bound by the intervention of two elected members of the board.
Article 7 – Fiscal Council
The fiscal council, elected by the general assembly, is composed of three members. The fiscal council is responsible for overseeing the administrative and financial acts of the board of directors, verifying its accounts and reports, and providing opinions on acts that imply an increase in expenses or a decrease in revenue. The manner of its operation is as established in Article 171 of the Civil Code.
Article 8 – Admission and Exclusion
The conditions for admission and exclusion of members, as well as their categories, rights, and obligations, shall be set out in the regulations approved by the general assembly.
Article 9 – Dissolution and Disposal of Assets
In the event of the association’s dissolution, the disposal of assets that are part of the association’s patrimony, which are not allocated to specific purposes and which have not been donated or bequeathed with conditions, shall be decided by the members.
